- An agent means any person; individual, firm or corporate entity concerned with the business of letting or selling commercial property, land, business interests or affiliated interests.

As regards to conditions and terms, we, us and our relates to the Company, Commercialmove Limited. The terms used as you and your relates to the person, individual, agent or member who has applied to become a member of www.commercialmove.co.uk.

- Your client refers to an agent, developer landlord or owner who has instructed you to market land, property, business opportunities, employment opportunities etc on their behalf.
- Term of membership means the period of time that you are entitled to use the facilities of our website.
- Locations identifies the places of your operation from which you intend to offer the property or opportunities from. We charge per location [your office] from which you actively carry out you duties. In the event of group advertising with us we charge per listed operational office which advertises with us and offers property or opportunities.
- If your application to join commercial move Limited is accepted, your acceptance is based on you only having access to your relevant section of the website.
- User data means information provided by or derived from the activities of visitors to our website, this doesn't include your data.
- Your Data refers to all information provided to us by you either directly or indirectly, including data provided by a link, or information provided by a third party.
Your Commitment to Commercial Move Limited
- You warrant that you or your client operate as an agent, and are acting in the professional manner associated with such services normally associated with such.
- You warrant that for the purposes of the Unfair Contract Terms Act 1977, neither you nor your client are dealing as a consumer.
- You will comply, your client also to comply, with all UK legislation and other regulatory and compliance standards with a business of the same or similar nature to yours. You will abide by professional standards as set by any authoritive professional body. If applicable will work within the limitations and expectations of the Estate Agents Act 1979, The Energy Performance of Buildings and any other associated acts that may be directly implied or be a requirement under such acts to be complied with. Any material being displayed by you on our website will comply with the Property Misdescriptions act 1991, The Housing Act 2004 or any other relevant or associated Acts or legislation. You will comply with all relevant Codes of Conduct as dictated by any trade or professional bodies that you are entitled to trade under.
- You will deliver all details, information and data in the prescribed manner as required by us.
- You will only enter information into your allocated web site space that is appropriate to the relevant use of such space.
- You will not enter information into the web site that can be seen as being offensive, inflammatory, and derogatory or be seen to cause any offence to any other party.
- You will comply with all reasonable instructions or requests from us, and you will comply fully with your obligations under the Data Protection Act 1988, with respect to personal data either sent or discussed or made available to you.
- You will warrant that you have good title to all data supplied from you to us, and that all data supplied is accurate and complete. The data supplied must be of a professional standard, and be free from known viruses.
- You will warrant that when your information is published by us the data provided will not breach any contract, fail to comply with any applicable law, act or regulation, infringe any copyright, intellectual property rights, trade mark or infringe any rights of an individual or firm or corporate entity.
- You will not publish, or allow or permit to publish, information or data that you know to be false, or publish or permit to publish information or data that you cannot verify as being accurate. Alternatively you shall not publish information or data that you know to be false or misleading.
- You will make all payments due to us as per our charging structure, with notification being sent to you in the event that there are any changes to the charges structure.
- Always endeavour to respond to by return to all enquiries received from users of the web site within a reasonable and professional time scale.
- Advise us, and request our authority prior to using any data or information, prior to using the information or data to be used by third or other parties.
- You will advise us in the event of a change of ownership of your organisation or a change to your trading style or change of address, within a period of five working days of such change being enacted.
Our Commitment to Our Members
- We will provide an internet property listing service, together with other services as listed on our web site. We will display the data as supplied and offer the information to visitors to our site.
- Where you upload information onto our web site, we will endeavour to automatically update your relevant listings to the full web site within a 24 hour period.
- Where ever possible we will allow you access to the web site 24 hours a day, 365 days of the year to add listings, edit listings and remove listings. We will at all times endeavour to maintain the availability and performance of the site.
- We will endeavour to maintain the accuracy and integrity of your data, but accept no liability for the accuracy of data and information supplied by you.
- We will endeavour to maintain the security of the information and data that you send us for inclusion to the web site.
- We will supply you with point of sale and other sales material during the term of your membership with us. We will also advise you of any promotional or regional events that we are undertaking.
- We will advise you one month beforehand of any changes that are to be made to the web site which may alter the layout, uploading, editing or removal of data and information, and advise you of any changes that may be required for you to gain access to the web site as a member.
- We will make endeavours to promote the web site, thereby assisting our member's progress.
- We will also grant you non-exclusive rights to use our logo, and web site address for your own advertising purposes. By granting these rights we request that our name and logo are used in a manner that does not cause harm, or allow us to suffer disrepute to our name. The right to use our logo or name may be withdrawn in the event that we feel misappropriation or misuse of our logo or web address is being undertaken.
- In the event that further listing sections are required, upon demand from you, we shall create new sections as required.
General Conditions
- Membership will only be deemed valid upon our confirmation of acceptance.
- We will not be liable to you or any other or third party for:
- loss of profit.
- Loss of business
- Loss of reputation
- Ant indirect, consequential, special or punitive loss, damage, costs and expenses.
- Loss or depletion of goodwill.
- Loss of, damage to or corruption of data.
- Members who feel that they have cause for complaint against Commercilmove Limited must notify us in writing within five days of the commencement of the complaint. Complaint letters will be responded to immediately with an acknowledgement prior to full investigation. All written correspondence should be addressed to our registered office. We will endeavour to resolve your complaint as quickly and efficiently as possible.
- We reserve the right at any time during your membership with us to alter the above conditions, and will notify you accordingly.
- In the event of there being changes to our charges for membership, we will notify you one month prior to the commencement of any new charges.
- Your membership will remain for the term, and shall continue thereafter unless terminated by either yourselves or ourselves. At least one months notice of termination must be tendered by you in the event that you wish to terminate your membership.
- We reserve the right to suspend your membership in the event that we feel that you are abusing your use of the website by uploading excessive or unnecessary amount of data or information.
- We reserve the right to suppress any information or links to other sites that we feel are detrimental to the running of our site,
- We may terminate your membership, without redress, if you enter into any form of insolvency, bankruptcy, liquidation, receivership, administration or you are unable to pay your debts.
Payment Terms
- Once your membership has been accepted, we will you will pay monthly in advance by either direct debit or standing order. Membership is dependant upon a completed direct debit or standing order form being submitted to our registered office.
- If you wish to pay by cheque, we will invoice you one month in advance of the allotted period, with payment being made at least 14 days prior to the agreed membership date. An administration charge of 5% will be added to the invoice if payment by cheque is required. This administration charge will be waived if a six monthly payment in advance is made by the member.
- In the event that a direct debit or standing order payment is not collected through no fault of our own, the membership will automatically be suspended and any information or data displayed on our web site, on your behalf, removed
